
Additional Product Terms – Training
ADDITIONAL PRODUCT TERMS – APPENDIX – TRAINING
Some of the defined terms used in this Appendix are set out below. Any defined terms used but not set out in this Appendix are as set out in Omniplex Learning’s Terms and Conditions.
“Delegates”
shall mean the relevant Customer, Customer Personnel and/or third parties who may attend the Training as set out in the Order Form;
“Customer Materials”
all branding, documents, materials, equipment, drawings, specifications and data supplied or made available by the Customer to Omniplex Learning;
“Deliverables”
all documents, products and materials provided by Omniplex Learning and/or Omniplex Learning Personnel as part of or in relation to the Training in any form or media, including text, drawings, data maps, plans, diagrams, designs, pictures, computer programs, data, specifications and reports (including drafts);
“Training”
shall mean the relevant training as specified in the Order Form;
“Training Date(s)”
shall mean the date and time the relevant Training is to be delivered as agreed by email between Omniplex Learning and the Customer;
1. Training
1.1 Where agreed in the Order Form, Omniplex Learning shall provide the Training to the relevant Delegates.
1.2 The Training shall take place on-line remotely, at a designated site or on your premises (as set out in the Order Form) on the relevant Training Date.
1.3 Omniplex Learning does not warrant that the Training, if delivered remotely, will be uninterrupted and Omniplex Learning is not responsible for any delays, delivery failures, or any other loss or damage resulting from communication networks and facilities, including the Internet, and the Customer acknowledges that the Training may be subject to limitations, delays and other problems inherent in the use of such communications facilities.
1.4 In order to receive the Training, the Customer shall ensure that its Delegates have complied with the relevant prerequisites as set out at https://omniplexlearning.com/training-prerequisites/ and notified by Omniplex Learning to the Customer from time to time and the following:
1.4.1 where appropriate, basic computer skills;
1.4.2 where appropriate, a registered account for the relevant Third Party Software; and
1.4.3 appropriate access to the internet to be able to participate in the Training. Omniplex – Additional Product Terms – Training v1.4 08042026 2 Confidential
1.5 If a Delegate has additional learning requirements, please speak to Omniplex Learning in the first instance to discuss if we can find a way to accommodate such requirement. If there will be an additional cost to accommodate a training requirement, we will discuss this with you in advance and agree a solution with you.
1.6 The Customer must book its Training Date(s) within thirty (30) days after signing the Order Form. If the Customer has not booked its Training Date(s) after thirty (30) days then Omniplex Learning will send reminders to the Customer after both thirty (30) days and sixty (60) days after the order. If the Customer has not booked its Training Date(s) by ninety (90) days after signing the Order Form, then any un-booked Training days will be forfeit and the Customer will not be eligible for a refund. All Training must be completed within 12 (twelve) months after signing the Order Form and excepting such limited circumstances where the Training Date(s) are cancelled or rescheduled beyond 12 (twelve) months due to Omniplex Learning changing the Training Date(s) then any unused Training days will be forfeit and the Customer will not be eligible for a refund.
1.7 Delegates who fail to attend training, on the booked Training Date(s) (either virtually or physically as set out in the booking) will forfeit their Training days and will be classed as a “No-show”. The Customer shall not be eligible for a refund for any “No-show” Delegates. It shall be entirely at the discretion of Omniplex Learning to offer new alternate training date(s) to a “No-show” Delegate.
1.8 The Customer may cancel or change its Training Date(s) at any time up until thirty (30) days prior to the Training Date(s) at no additional cost
1.9 The Customer may not change its Training Date(s) less than thirty (30) days prior to the scheduled Training Date(s). In the event that the Customer requests a change of Training Date(s) on less than thirty (30) days’ notice this will be classified as a “Late Change”. Omniplex Learning shall make reasonable endeavours to accommodate any Late Change requests for alternative training date(s) but cannot guarantee that this will be possible. In the event that a Late Change can be accommodated by Omniplex Learning and alternate date(s) booked, then the Customer agrees to pay to Omniplex Learning the following fees: a Late Change fee of 25% of the relevant Training cost plus any reasonable third party costs incurred by Omniplex Learning in relation to the change of date(s); these may include but are not limited to, costs incurred for training venues, hotels, travel and any additional costs related to rebooking the same on the alternative date(s).
Training cancellation policy
1.10 For all Training, the Customer agrees to adhere to the following cancellation policy:
1.10.1 100% refund if the cancellation is more than thirty (30) days prior to the Training Date
1.10.2 50% refund if the cancellation is less than thirty (30) days but more than fourteen (14) days prior to the Training Date
1.10.3 No refund if the cancellation is less than fourteen (14) days prior to the Training Date
1.11 The Customer’s cancellation/Training Date transfer request must be received in writing and acknowledged by Omniplex Learning. As a result of late cancellation, Omniplex Learning will charge to the Customer any third party costs incurred by Omniplex Learning including losses and wasted costs incurred on Training venues, hotels and travel, and additional costs to rebook the same, which the Customer agrees to pay to Omniplex Learning.
1.12 Omniplex Learning will charge travel and expenses for Training taking place physically (not remotely) at a Customer or Customer designated venue. Omniplex Learning will invoice travel and expenses costs to the Customer in accordance with clause 5 of the Terms and Conditions.
1.13 Omniplex Learning reserves the right to record Training sessions and distribute such recordings to Delegates who attend the Training. Omniplex Learning may decide in its discretion to distribute a recording to any person who did not attend the training.
1.14 Deliverables (whether physical paper copies or electronic copies, including recordings of training) supplied by Omniplex Learning remain the property and copyright of Omniplex Learning and the Customer shall not make any copies without Omniplex Learning’s prior written agreement. Customer Materials and Customer Data (if any) remain the property and copyright of the Customer. The Customer shall procure (by informing Customer Personnel) that it is prohibited:
1.14.1 to email or otherwise share Deliverables with any person not attending the Training; and/or
1.14.2 to distribute the Deliverables on the internet.
1.15 Omniplex Learning reserves the right to modify course syllabus and schedule as it sees fit provided it delivers the same learning aims. Omniplex Learning will notify the Customer in writing of any material changes to the course syllabus and schedule. On rare occasion, for example in the event of the illness of a trainer, Omniplex Learning may need to cancel or change a Training Date due to unavoidable circumstances. Omniplex Learning will endeavour to provide a minimum of fourteen (14) days’ written notice of any cancellation or change and offer an alternative Training Date or solution for delivery of the Training.
